Terms of service
Terms of Service for Honor Liberty®
Last updated: 14 October 2026
PLEASE READ THIS FIRST. IT MATTERS. SECTIONS 22 TO 26 OF THESE TERMS CONTAIN FOUR PROVISIONS THAT CHANGE YOUR LEGAL RIGHTS: A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A MASS ACTION WAIVER AND A JURY TRIAL WAIVER. APART FROM THE EXCEPTIONS EXPRESSLY DESCRIBED BELOW, ANY DISPUTE BETWEEN US WILL BE RESOLVED ON AN INDIVIDUAL BASIS BY FINAL AND BINDING ARBITRATION. IF YOU WOULD PREFER NOT TO ARBITRATE, SECTION 26 EXPLAINS HOW TO OPT OUT.
THE Honor Liberty® VIP MEMBERSHIP, WHICH IS A PAID SUBSCRIPTION THAT RENEWS BY ITSELF, IS ALSO SUBJECT TO THESE TERMS. IF YOU SIGN UP, WE WILL KEEP CHARGING YOU ON A RECURRING BASIS UNTIL YOU CHOOSE TO CANCEL. EVERY DETAIL OF THE AUTOMATIC RENEWAL AND CANCELLATION TERMS IS IN SECTION 6.
THESE TERMS APPLY TO YOU IN FULL, AND YOU AGREE TO BE BOUND BY ALL OF THEM, FROM THE MOMENT YOU VISIT, INTERACT WITH OR USE OUR SERVICES OR BUY SOMETHING FROM US.
Overview: who we are and what these Terms cover
Thank you for choosing Honor Liberty®. Wherever these Terms say "we", "us" or "our", they are referring to Honor Liberty®. We are the operator of this store and website. That includes every related subdomain, checkout funnel, landing page and mobile experience, together with all of the information, content, features, tools, products and services offered through them (all of which these Terms call the "Services"). The platform behind our store is Shopify, and it is Shopify that enables us to provide the Services to you.
These Terms of Service ("Terms") work together with any policies they mention. Read as a whole, they explain the rights you have and the responsibilities you take on when you use the Services. You will also find important information about your legal rights in them, such as warranty disclaimers, limitations of liability and the dispute resolution provisions highlighted at the top of this page.
Your use of the Services is your agreement to be bound by these Terms and by our Privacy Policy. If you are not willing to accept them, you are not permitted to access or use the Services.
1. How you accept these Terms, agreeing online, and how the Terms can change
1.1 Who can accept, and what counts as acceptance
Any of the following actions means you accept these Terms: accessing the Services, setting up an account, joining the VIP Membership, clicking a button that indicates you agree, or buying a product. When you take any of those actions, you are also representing three things to us. First, that you are at least eighteen (18) years old and have reached the age of majority in the state or province you live in. Second, that you have full legal capacity to make a binding agreement. Third, that you agree to be bound by these Terms in their entirety. On top of that, you consent to letting any of your minor dependents use the Services on devices that you own, purchase or manage.
1.2 Agreeing electronically with a click
In some transactions, where we present it, you will be asked to do something active to show that you agree to these Terms before you can finish, such as ticking a box that starts out unchecked or clicking a button that is clearly labelled. Doing so is a form of electronic consent, and it is legally binding.
1.3 When and how we may update these Terms
We are allowed to revise these Terms at any time, using our sole discretion. This page always shows the most current version, so you can check it whenever you like. For material changes, we will give you reasonable notice through an email, a notification in your account or a banner on the website, and those changes start to apply on the date set out in that notice. Continuing to use the Services after a change has become effective means you have accepted the revised Terms.
2. Your permission to use the Services, and looking after your account
We give you a licence to access and use the Services. That licence is limited, revocable, non-exclusive, non-transferable and non-sublicensable, and it covers your personal, non-commercial use only. We keep the right to modify or discontinue any part of the Services, to restrict or terminate access, and to refuse service to any user, whenever we choose and for any reason. If the Services become unavailable, we are not liable for that.
When you use the Services, we may ask for information like your email address and your billing, payment and shipping details. You represent and warrant that everything you give us is correct, current and complete, and that you hold all the rights you need to give it to us.
Protecting your account credentials is your job alone, and you are solely responsible for every activity on your account. Should you notice any unauthorised access, contact us immediately at support@honorliberty.com. Your account is personal to you, which means you may not transfer, sell, assign or licence it to any other person. If these Terms are violated, we may disable the account at our discretion.
3. What to expect from our product listings
We have put every effort into representing our products accurately. Depending on your device and how its settings are configured, though, colours and the appearance of a product may look different on your screen.
We cannot warrant that a product's appearance or quality will meet your expectations, or that it will be exactly the same as what you see in our online stores.
We can change any product description at any time and without notice, using our sole discretion. We also have the right to discontinue any product whenever we choose, and to limit the quantities of any product we offer to any person, geographic region or jurisdiction. We make those decisions case by case.
You take on all the risk when you rely on information presented through the Services. We disclaim all liability that arises from reliance on Website materials, on how product descriptions are interpreted, or on third-party materials or testimonials that appear on the Services.
4. How ordering works and when an order is accepted
Placing an order is how you make us an offer to purchase. It is up to Honor Liberty® whether to accept or decline that offer, and we may decline for any reason at our discretion, including where we suspect fraud, find a pricing error or the product is unavailable. Your order only counts as accepted once Honor Liberty® has confirmed acceptance, and we need to have received and processed your payment before that point.
Because we may not be able to accommodate a cancellation request once an order has been accepted, please review your order carefully before you submit it. In the event that we do not accept an order, or we change or cancel it, we will attempt to contact you using the email address, billing address or phone number you provided when you ordered.
You can return or exchange a purchase only in accordance with our Refund Policy.
You represent and warrant that you are making purchases for your own personal or household use and that you are not buying for commercial resale or export.
5. Prices, how you pay and how billing works
5.1 How our prices are set and shown
Prices, discounts and promotions may be changed without notice. What you pay is the price that was in effect when you placed your order, and you will see it in your order confirmation email. We list prices in U.S. dollars. Unless we expressly state otherwise, the prices we post exclude taxes, shipping, handling, customs and import charges. Prices may also differ between our online stores and physical stores or stores operated by third parties.
Now and then we may run a promotion that has its own terms, separate from these Terms. If the two ever conflict, the terms of the promotion are the ones that govern.
5.2 What you confirm when you give us a payment method
When you provide a payment method, you represent and warrant that (i) the payment information you give us is true, correct and complete, (ii) you have due authorisation to use that payment method, (iii) your card issuer will honour the charges you incur, and (iv) you will pay what you incur at the posted prices, including shipping and handling charges and every applicable tax. You authorise us to charge your payment method for the products you purchase, for VIP Membership renewals, for shipping charges and applicable taxes, and for any other fees we have disclosed. We may suspend or cancel your order if the payment is declined.
5.3 Keeping your payment and account details accurate
So that we can complete your transactions and contact you whenever we need to, you agree to keep your purchase, payment and account information current, complete and accurate. This includes your email address, your card numbers and their expiration dates.
5.4 Automatic updates to your saved card
Your card issuer may send us updated card information, for example a new card number or a new expiration date, and we may update your account to match. You give us authorisation to charge the card as updated. If you prefer that your payment information is not updated automatically, you have three options: contact your card issuer, remove the payment method stored on your account, or cancel your VIP Membership. You are the one responsible for any bank or card fees. If a charge is reversed, we may send you an invoice directly and look for payment through a different method.
5.5 Payments handled by outside processors
Third-party providers may process your payments. Their own terms and privacy policies apply to how you use them, and errors made by a payment processor are not our responsibility.
6. The VIP Membership explained: subscription, automatic renewal and how to cancel
PLEASE TAKE YOUR TIME WITH THIS SECTION. THE Honor Liberty® VIP MEMBERSHIP IS A SUBSCRIPTION YOU PAY FOR. IT RENEWS AUTOMATICALLY AND WILL CHARGE YOUR PAYMENT METHOD AGAIN ON EACH RECURRING BILLING DATE UNTIL YOU CANCEL.
6.1 What joining the VIP Membership means
Through the Services we may offer a membership option (the "VIP Membership" or "Subscription Service"). In return for a recurring fee, it gives members discounts and other member benefits. By enrolling, you agree that the membership brings recurring payment obligations with it, and that Honor Liberty® has your authorisation to charge your payment method automatically, at the stated billing interval, until you cancel.
6.2 How the free trial works
If you are a new member, you can take a 10-day free trial, which is offered only once. Starting it gives us your authorisation to charge your selected payment method at the end of the trial, unless you cancel before the trial expiration date. There is a limit of one free trial for each member, each household and each payment method.
6.3 What we show you before you join, and how you give consent
Before you confirm your billing information and finish enrolling, we will put a clear and conspicuous notice in front of you, in visual proximity to where we ask for your consent. That notice will disclose every one of these points:
- your membership will renew automatically, and you will be charged on a recurring basis unless you cancel;
- the renewal period is every twenty-eight (28) days, together with any additional renewal terms;
- you will be charged $49.95 every 28 days, which is the amount and frequency for each renewal period, unless you take timely steps to cancel;
- the first charge is made immediately once the 10-day free trial is complete;
- which cancellation methods you can use, including the way to cancel online and the way to contact us;
- a direct link to the online cancellation process, which is at https://honorliberty.com/pages/cancel-membership; and
- our contact information, which you can find in Section 31.
To complete your purchase, you must first take an affirmative action that expressly confirms your consent to the recurring charges, for example ticking an acknowledgment box that is unchecked or clicking a button with a clear label. Taking that action is how you give express informed consent to the automatic renewal terms. We do not obtain this consent through pre-checked boxes or any other default mechanism.
6.4 How and when your membership renews
YOUR MEMBERSHIP WILL RENEW AUTOMATICALLY UNLESS YOU CANCEL IN LINE WITH THESE TERMS. EACH RENEWAL IS AT THE THEN-CURRENT RATE AND AT THE SAME BILLING INTERVAL YOU PICKED AT CHECKOUT. Here is how that works in practice. When the 10-day free trial ends, your membership turns into a paid 28-day membership, and we immediately charge a membership fee of $49.95. After that, the membership keeps going and renews by itself every 28 days. You authorise each of these recurring charges until your membership is cancelled.
6.5 The confirmation email you will receive
Once you are enrolled, we will email an order confirmation to the address you gave us. In it you will find (a) a summary of the automatic renewal terms, (b) the amount charged and how often billing happens, (c) the cancellation methods available to you, and (d) a direct link to the online cancellation process. We recommend keeping it for your records. If the confirmation has not arrived within 24 hours of your enrolment, let us know at support@honorliberty.com.
6.6 Your options for cancelling, without unreasonable barriers
There are several ways to cancel your trial or membership, and you can use any of them at any time. Timing matters here. If you want to avoid being charged for the next billing period, your cancellation needs to be complete at least twenty-four (24) hours ahead of your next scheduled billing date. If you want to avoid being charged for the first membership period, you need to cancel before the 10-day free trial comes to an end.
- Online, which is the easiest route: open https://honorliberty.com/pages/cancel-membership and work through the cancellation steps, which are clearly labelled. There is no need to phone anyone.
- By sending an email: write to support@honorliberty.com asking to cancel. You will hear back from us with confirmation within one (1) business day.
- Through the contact form: fill in a request on our Contact page.
- By telephone: phone +1 (844) 746 9360 and we will cancel it for you while you remain on the call.
We will not ask you to speak to a live representative, go through a retention flow or take any extra step beyond those set out above before we let you cancel. A cancellation you make through the online portal becomes effective once it is confirmed on screen, and a cancellation confirmation email will be sent to the address we have on file. No more recurring charges will be processed once the current billing period has concluded.
6.7 What happens to your benefits after you cancel
Cancelling in the middle of an active 28-day membership period does not take your member benefits away straight away, because you can keep using them until that period is over. Any membership fees that have already been charged stay non-refundable, in line with Section 8.
6.8 What happens if a payment does not go through
In the event a recurring charge fails, you authorise us to do three things: retry the charge, contact you to get updated payment information, and suspend member benefits and shipments until the payment comes in. By remaining enrolled, you are reaffirming your authorisation for us to charge your payment method. If the law permits, we may refer unpaid balances for collection.
6.9 What members get, who qualifies and how benefits can change
Being a VIP member makes you eligible for discounts of 20% to 80% off select products available in our store. The size of each discount varies with the product, the promotion, inventory availability and seasonal offers, and not every product is eligible. Discounts are only applied to qualifying purchases you make while your membership period is active. Unless we expressly state otherwise, they cannot be combined with other coupons, promotional offers, clearance pricing or special discounts. We may also leave certain brands, products, services, gift cards or limited-time offers out of the program. To use the benefits, you need to be an active member in good standing with a valid payment method on file. The benefits cannot be transferred and are for the enrolled member's use only. We reserve the right to change our discount offerings, the products that participate and the membership benefits at any time, without notice in advance. Any such change only applies from that point forward and has no effect on purchases already completed.
6.10 How membership pricing may change
We may modify membership pricing, but only after reasonable notice, and we will give any advance notice the law requires. A pricing change will only affect future billing cycles. It will not change the membership period you are currently paid up for.
6.11 Additional rights if you are a California subscriber
If you reside in California, these additional disclosures apply to you under California Business and Professions Code Section 17601 et seq. (the Automatic Renewal Law) and Section 17535 et seq.:
- How renewal works: unless you cancel before your next renewal date, your membership automatically renews every 28 days at whatever the then-current price is.
- How you can cancel: at any time, you may cancel at https://honorliberty.com/pages/cancel-membership, by sending an email to support@honorliberty.com, or by phoning +1 (844) 746 9360. Cancelling will not be made difficult for you.
- Refunds of charges you did not authorise: should we fail to give you the required disclosures before you enrol, you will receive a full refund from us of any charges you did not authorise. Email support@honorliberty.com if you want to request a refund under this provision.
- Who you can contact: you can reach Honor Liberty® at support@honorliberty.com or +1 (844) 746 9360. Another option is to contact the California Department of Consumer Affairs, Consumer Information Division, 1625 N. Market Blvd., Suite N 112, Sacramento, CA 95834, (800) 952-5210.
7. Shipping, delivery, and when ownership and risk pass to you
Third-party carriers handle the shipping of our products. We need an accurate shipping address and phone number in order to deliver, and if you give us an incorrect address, we are not responsible for any delay or non-delivery that follows. If your address changes, email support@honorliberty.com immediately. Once an order has been submitted, we cannot guarantee that it can still be edited.
Shipping and delivery delays are outside our liability. All delivery times we give are estimates and come with no guarantee. Delays caused by shipping carriers, by customs processing or by events we cannot control are not our responsibility. Unless the law requires otherwise, title to the products and the risk of loss pass to you once we have transferred the products to the carrier. As an international customer, you are responsible for paying any customs duties and import taxes.
7.1 How we prove delivery
Delivery confirmation from the carrier is treated as conclusive proof that the order reached the address you provided, even if nobody signed for it. You agree that, when disputes are being resolved, including chargebacks and claims that an order was not delivered, this confirmation is sufficient evidence of delivery.
8. Returns, refunds and membership fees
The complete terms for returns and refunds are in our Refund Policy. Every sale is final unless that policy states otherwise. When a refund applies, we process it to the original payment method, and the time it takes your bank to post it will vary. We do not refund shipping and handling fees.
Membership fees are not refunded unless applicable law requires it. Partial billing periods, time you did not use and membership benefits you did not take advantage of do not qualify for a refund.
9. Who owns the content, brands and trademarks on the Services
Everything that makes up the Services belongs to Honor Liberty®, its affiliates or its licensors. That covers all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, software and design elements, and also the way they are selected and arranged. All of it is protected by U.S. and foreign patent, copyright and other intellectual property laws.
These Terms only allow you to use the Services for your personal, non-commercial use. Unless you have our prior written consent, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material found on the Services. No part of these Terms gives you a licence or any other right under a patent, trademark, copyright or other intellectual property of Honor Liberty®, Shopify or a third party. If you use this material without authorisation, you may be violating federal and state intellectual property laws. We reserve all rights that we have not expressly granted.
Our names, logos, product and service names, designs and slogans are trademarks of Honor Liberty® or of its affiliates or licensors, and you may not use them without getting our prior written permission. In the same way, Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. Any other marks you see on the Services are owned by their respective owners.
9.1 How to tell us about a copyright problem
If you believe something on the Services infringes your copyright, please email a notice to support@honorliberty.com. Your notice needs to include (i) identification of the copyrighted work, (ii) identification of the material you believe is infringing and where it is located, (iii) your contact information, (iv) a statement of your good-faith belief, and (v) a statement, made under penalty of perjury, confirming that the notice is accurate.
10. Optional tools from third parties, and links to other sites
The Services may give you access to customer tools that third parties offer. These tools are not monitored or controlled by us. We give you access to them "as is" and "as available", with no warranties, representations or conditions of any kind, and we do not endorse them. We have no liability arising from your use of optional third-party tools, so using them is entirely at your own risk and discretion. Before you use any of them, you should check that you are familiar with and approve of the terms on which each tool is provided.
Third parties may provide or operate websites that the Services link to or contain materials from, and the Services may include embedded third-party functionality. We have no responsibility for examining or evaluating the content, practices, accuracy or legality of those websites, and if you leave the Services to access them, the risk is yours. Direct any complaints, claims, concerns or questions about third-party products and services to the third party involved.
Any new features we introduce through the Services in the future also count as part of the Services and are subject to these Terms.
11. Shopify's role, and who you are buying from
We use Shopify as the platform for our store, and Shopify enables us to provide the Services to you. Any sale or purchase you make in our store is a transaction directly between you and Honor Liberty®. When you use the Services, you acknowledge that Shopify is not responsible for any aspect of such a sale, including any injury, damage or loss that results from products and services you have purchased. Shopify and its affiliates are expressly released by you from all claims, damages and liabilities arising from or related to your purchases and transactions with Honor Liberty®.
12. Your privacy, our use of cookies, and how we communicate with you electronically
Any personal information we collect through the Services is subject to our Privacy Policy, and that policy forms part of these Terms by reference. Shopify's Privacy Policy may also apply to some personal information. Using the Services is your acknowledgment that you have read both policies.
Shopify hosts the Services, so it collects and processes personal information about how you access and use them, in order to provide and improve the Services. What you submit may be transmitted to and shared with Shopify and third parties, some of which may be based in countries other than the one where you reside. On the Services, we and third parties operate cookies, pixels and similar tracking technologies. They are used to enhance user experience, analyse performance, personalise content and support advertising and marketing.
You consent to receiving electronic communications from us when you use the Services, create an account or make a purchase. Those communications include order confirmations, shipping notifications, notices about membership renewal and cancellation, and customer service communications, plus marketing emails if you opted in to receive them. To stop marketing emails, click the unsubscribe link in any of them. Wherever the law requires a communication to be in writing, an electronic communication meets that requirement.
13. Feedback, reviews and other content you share with us
Sometimes you may submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans or other content to us ("Feedback"). When you do, you grant us a licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium and for any purpose, including commercial use. The licence is perpetual, worldwide, sublicensable, transferable and royalty-free.
You represent and warrant four things about your Feedback: (i) you own it or have all the rights it needs, (ii) you have disclosed any compensation or incentive you received in connection with it, (iii) it is truthful and not misleading, and (iv) it complies with these Terms. We do not have to keep Feedback confidential, pay any compensation for it or respond to it.
We have the option, but not the obligation, to monitor, edit or remove Feedback that we judge in our sole discretion to be unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable, or to violate the intellectual property rights of any party or these Terms.
Feedback you send must not violate any third-party right, such as copyright, trademark, privacy, personality or other proprietary rights. It also must not contain unlawful, abusive or obscene material, or any virus or malware. You may not use a false email address, pretend to be another person, or in any other way mislead us or third parties about where Feedback originated. You are solely responsible for your Feedback and for how accurate it is. We take no liability for Feedback that you or any third party posts.
We reserve the right to cooperate fully with law enforcement authorities or with any court order that directs us to disclose user information. If we make a disclosure in good faith to comply with legal obligations, you hold us harmless from any claim arising from it.
14. Errors, inaccuracies and omissions, and how we fix them
Information in the Services may occasionally contain typographical errors, inaccuracies or omissions. These can relate to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. When that happens, we reserve the right to correct the errors, inaccuracies or omissions, to change or update information, and to cancel orders if any information is inaccurate. We may do any of this at any time without notice in advance, and that includes after you have submitted your order.
15. Uses of the Services that are not allowed
The Services are for lawful purposes only. Neither directly nor indirectly may you use the Services:
- for anything unlawful or malicious;
- in a way that violates an international, federal, provincial, state or local law, rule, regulation or ordinance;
- to infringe intellectual property rights, whether ours or another party's;
- to harass, abuse, insult, harm, defame, slander, disparage or intimidate any of our employees or anyone else;
- to pass on information that misleads or is false;
- to send, knowingly receive, upload, download, use or re-use any material in breach of these Terms;
- to transmit, or procure the sending of, any advertising or promotional material, junk mail, chain letters and spam included;
- to impersonate somebody else, whether a person or an entity; or
- to engage in conduct that restricts or inhibits other people's use or enjoyment of the Services, or that could harm Honor Liberty®, Shopify or users of the Services or expose them to liability.
You also agree that you will not do any of the following:
- upload or transmit a virus or malicious code of any other kind;
- reproduce, duplicate, copy, extract, sell, resell or exploit the Services in whole or in part;
- collect or track personal information that belongs to other people;
- carry out spamming, phishing, pharming or pretexting against the Services;
- use any robot, spider, scraper, data gathering and extraction tool, automatic device or process, AI tool (agentic AI among them), or any other automated or manual means, to access the Services; or
- interfere with, bypass or circumvent our security or authorisation features, our robot exclusion headers, or any other measures we use to restrict access.
We reserve the right to investigate violations and to pursue them to the fullest extent permitted by law. For any violation of these Terms, we may also suspend, disable or terminate your account at any time without notice.
16. Rules for AI agents and other automated software
16.1 When this section applies, and what an Agent is
You are covered by this section if you use, allow, enable or cause the deployment of an Agent to access, use or interact with any Services. In these Terms, "Agent" refers to any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can execute on behalf of a person, or by using that person's device, without direct supervision.
16.2 Conditions an Agent must meet
Unless it identifies itself and operates strictly in accordance with Section 16.4 at all times, no Agent is permitted to access, use or interact with the Services. If we have asked an Agent to refrain from accessing the Services, it may not access them.
16.3 Our ability to restrict Agents
We may place limits on whether and how any Agent accesses, uses and interacts with the Services, and we may do so through technical measures.
16.4 Specific obligations for every Agent
Agents are required to:
- make clear in every HTTP/HTTPS request that the request is coming from an Agent, and include the Agent's name in the user agent string in the form "Agent/[agent name]";
- avoid concealing or obfuscating that an interaction is from an Agent, which includes not mimicking human behaviour and interaction patterns and not completing or circumventing CAPTCHAs or other measures meant to distinguish computer use from human use;
- answer truthfully whenever a question or prompt seeks to find out whether interactions come from a human or a computer; and
- leave in place, and not circumvent or avoid, every measure intended to block, limit, modify or control Agent access.
17. Ending this agreement, and the terms that continue afterwards
These Terms stay in force until they are terminated. In our sole discretion, we may terminate this agreement or your access to the Services, or to any part of them, at any time and without notice. Even after termination, you are still liable for every amount due up to and including the date of termination.
Some parts of these Terms keep applying after termination. They are:
- Section 9, which covers intellectual property;
- Section 13, which covers Feedback;
- Section 17, this section on termination;
- Section 18, the disclaimer of warranties;
- Section 19, the limitation of liability;
- Section 20, on indemnification;
- Section 21, the limitation on time to file claims;
- Section 22, covering dispute resolution and binding arbitration;
- Sections 23, 24 and 25, which contain the class action waiver, the mass action waiver and the jury trial waiver;
- the provisions on severability, waiver and entire agreement, and assignment, found in Sections 27 and 30;
- Section 28, which sets the governing law;
- the Privacy Policy;
- any payment obligations you have; and
- any other provision which, because of its nature, should survive.
18. Disclaimer of warranties: what we do not promise
We make the information presented through the Services available only for general information purposes. We give no warranty that it is accurate, complete or useful, and you rely on it strictly at your own risk.
UNLESS Honor Liberty® HAS EXPRESSLY SAID OTHERWISE, YOU RECEIVE THE SERVICES AND EVERY PRODUCT OFFERED THROUGH THEM "AS IS" AND "AS AVAILABLE". WE MAKE NO REPRESENTATION AND GIVE NO WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. THAT INCLUDES ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, ACCURACY, RELIABILITY, AVAILABILITY AND NON-INFRINGEMENT. WE ALSO DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT WE WILL CORRECT DEFECTS, OR THAT PRODUCTS WILL MEET WHAT YOU EXPECT. IN SOME JURISDICTIONS, THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES IS LIMITED OR NOT ALLOWED, SO THE ABOVE MAY NOT APPLY TO YOU.
19. Limits on what we can be held liable for
TO THE FULLEST EXTENT THAT THE LAW PERMITS, NONE OF Honor Liberty®, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, NOR THOSE OF SHOPIFY AND ITS AFFILIATES, WILL BE LIABLE IN ANY CASE FOR ANY INJURY, LOSS OR CLAIM, OR FOR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, MULTIPLE OR CONSEQUENTIAL DAMAGES OF ANY KIND. THOSE DAMAGES INCLUDE, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION AND REPLACEMENT COSTS. THIS APPLIES WHATEVER THE BASIS OF THE CLAIM, WHETHER CONTRACT, TORT (NEGLIGENCE INCLUDED), STRICT LIABILITY OR ANYTHING ELSE, AND WHENEVER THE CLAIM ARISES FROM OR RELATES TO THESE TERMS, YOUR USE OF OR INABILITY TO USE THE SERVICES, ANY PRODUCT PURCHASE, ANY MEMBERSHIP OR AUTOMATIC RENEWAL, OR ANY ADVERTISING OR MARKETING PRACTICES. IT APPLIES EVEN IF SOMEONE ADVISED US THAT SUCH DAMAGES WERE POSSIBLE.
19.1 The maximum amount we will pay
TO THE MAXIMUM EXTENT THAT THE LAW PERMITS, OUR TOTAL LIABILITY FOR ANY CLAIM IS CAPPED AT WHICHEVER IS GREATER OF (A) THE TOTAL AMOUNT YOU PAID Honor Liberty® IN THE TWELVE (12) MONTHS LEADING UP TO THE EVENT THAT GAVE RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS ($100.00). THE AMOUNT SO CAPPED IS YOUR SOLE AND EXCLUSIVE REMEDY.
19.2 Why these limits are built into our pricing
You acknowledge that the allocation of risk in this Section 19 is reflected in what we charge for our products and memberships, and that we would not enter into these Terms if these limitations were not part of them.
20. Your promise to cover our losses (indemnification)
You agree to indemnify and defend Honor Liberty®, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, service providers and successors, and to hold them harmless, against any losses, damages, liabilities or claims, reasonable attorneys' fees included, that are payable to a third party due to or arising out of: (1) your breach of these Terms or of the documents incorporated into them by reference; (2) your violation of a law or of a third party's rights; or (3) how you access and use the Services.
We will notify you of any claim that you must indemnify. If we are slow to notify you, your obligations still stand unless the delay has materially prejudiced you. At your expense, we may control the defence and settlement of the claim, which includes choosing counsel. We will not, however, settle a claim that requires non-monetary obligations from you unless you consent, and you agree not to withhold that consent unreasonably. You will cooperate in the defence of indemnified claims, for example by providing relevant documents.
21. The time limit for bringing a claim
EXCEPT WHERE APPLICABLE LAW PROHIBITS IT, AND TO THE FULLEST EXTENT THE LAW PERMITS, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, ANY PRODUCT OR ANY MEMBERSHIP HAS TO BE COMMENCED NO LATER THAN ONE (1) YEAR AFTER THE CLAIM ACCRUES. ONCE THAT YEAR HAS PASSED WITHOUT THE CLAIM BEING COMMENCED, THE CLAIM IS BARRED PERMANENTLY. THE TIME LIMIT COVERS ALL CLAIMS, WHATEVER THEIR LEGAL BASIS, WHETHER CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION OR ANY OTHER LEGAL THEORY.
22. How disputes are resolved: binding individual arbitration
THIS SECTION DESERVES YOUR FULL ATTENTION. IT HAS AN EFFECT ON YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO TAKE A CASE TO COURT BY FILING A LAWSUIT.
OTHER THAN AS EXPRESSLY PROVIDED BELOW, YOU AND Honor Liberty® AGREE THAT FINAL AND BINDING INDIVIDUAL ARBITRATION WILL BE THE ONLY WAY ANY DISPUTE IS RESOLVED.
22.1 What the agreement to arbitrate covers
You and Honor Liberty® agree that binding, confidential arbitration on an individual basis will be the exclusive means of resolving any dispute, claim, controversy or cause of action arising out of or relating to these Terms, the Services, any product, any membership or automatic renewal, any advertising or marketing practice, or any alleged misrepresentation (each a "Dispute"). The term "Dispute" should be given a broad meaning.
22.2 The Federal Arbitration Act, and who decides arbitrability
Because these Terms evidence a transaction in interstate commerce, the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement and the proceedings held under it. Threshold issues of arbitrability, including scope, validity and enforceability, are all decided by the arbitrator.
22.3 The written notice required before anyone can start arbitration
Whichever party wants to begin arbitration must first send the other a written Notice of Dispute. The notice has to include the party's full name and mailing address, the email address associated with the account, a description of the claim and the specific relief being requested. If you are sending notice to us, email it to support@honorliberty.com and put "Notice of Dispute" in the subject line. It becomes effective on the date you send it. If we are sending notice to you, we will use the email address associated with your account. Once notice has been given, the parties will try in good faith to resolve the Dispute over a period of thirty (30) days, and neither party may file for arbitration until those thirty days are up.
22.4 Self-help remedies we can still use
This Section does not prevent us from using lawful self-help remedies. Examples include responding to chargebacks, pursuing collection efforts, suspending or terminating accounts, offsetting amounts owed and enforcing payment obligations as permitted by law.
22.5 How the arbitration will be run
The arbitration will take place before a single neutral arbitrator and will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Should the AAA decline to administer it, the parties will choose a nationally recognised arbitration provider by mutual agreement, and if they are unable to agree, a court will make the appointment. Any remedy that would be available in an individual action under applicable substantive law may be awarded by the arbitrator, including compensatory damages, statutory damages, punitive damages, declaratory relief, injunctive relief, and attorneys' fees where a statute or contract authorises them. The arbitrator does not have the power to award relief on a class, representative or consolidated basis.
22.6 Who pays for the arbitration
Payment of filing, administration and arbitrator fees follows the AAA Consumer Arbitration Rules. If those rules require it, we will pay the portion of arbitration fees that is more than the amount you would pay to file a comparable action in court. Unless the law says otherwise, each party covers its own attorneys' fees.
22.7 The option of small claims court
Both you and we keep the option of bringing an individual action in small claims court.
22.8 Court relief we may seek to protect the business
We have the right to apply to a state or federal court for temporary, preliminary or permanent injunctive or equitable relief where a claim involves intellectual property, confidential information, unauthorised resale, fraud or misuse of the Services, or where these Terms are violated in a way that threatens irreparable harm. You consent, for these limited purposes only, to the exclusive jurisdiction and venue of such courts.
22.9 When public injunctive relief can go to court
Some laws do not allow a claim for public injunctive relief to be waived. Where applicable law prohibits that waiver, such a claim may be brought in a court of competent jurisdiction. Every other claim, whether it seeks monetary, individualised or non-public injunctive relief, continues to be subject to binding arbitration.
23. Waiving class actions: disputes are brought individually
ALL DISPUTES BETWEEN YOU AND Honor Liberty® WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND BOTH OF US AGREE TO THIS. YOU ARE WAIVING ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, TO SERVE AS EITHER A CLASS REPRESENTATIVE OR A CLASS MEMBER, TO ACT AS A PRIVATE ATTORNEY GENERAL, OR TO JOIN OR CONSOLIDATE CLAIMS WITH THOSE OF ANYONE ELSE. THE ARBITRATOR HAS NO AUTHORITY TO CONDUCT A PROCEEDING THAT IS CLASS, COLLECTIVE, REPRESENTATIVE OR CONSOLIDATED.
THIS WAIVER COVERS EVERY KIND OF DISPUTE. THAT INCLUDES A DISPUTE ABOUT THE VIP MEMBERSHIP, ITS FREE TRIAL OR ITS AUTOMATIC RENEWAL, ABOUT ANY RECURRING CHARGE, OR ABOUT ANY DISCLOSURE OR MARKETING PRACTICE CONNECTED WITH THE MEMBERSHIP.
IN THE EVENT THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE FOR A PARTICULAR CLAIM, THAT CLAIM WILL BE SEVERED AND WILL PROCEED IN A COURT OF COMPETENT JURISDICTION. ALL OF THE REMAINING CLAIMS WILL CONTINUE IN ARBITRATION ON AN INDIVIDUAL BASIS.
24. Waiving mass actions, and how coordinated claims are handled
A Dispute may not be brought as a "Mass Action". The term "Mass Action" describes a situation where twenty-five (25) or more similar arbitration demands are filed within one hundred eighty (180) days and the same or affiliated counsel coordinates them. Unless we consent, those claims will not be consolidated or administered as a group.
24.1 How claims are batched
When Mass Action conditions are met, the claims will be put into batches, each of no more than two hundred (200) claimants. Batches proceed one at a time, and every batch gets its own separately appointed arbitrator. While claims are waiting in the batching process, statutes of limitation are tolled.
24.2 Using a special master for procedural disputes
If procedural disagreements come up over how a Mass Action is being administered, a neutral special master may be appointed to settle them.
25. Giving up a jury trial
SHOULD ANY DISPUTE END UP IN COURT RATHER THAN IN ARBITRATION, EACH OF YOU AND Honor Liberty® WAIVES THE RIGHT TO HAVE A JURY TRY IT, TO THE FULLEST EXTENT THE LAW PERMITS.
26. How to opt out of arbitration and the waivers
You have the right to opt out of three things: the arbitration agreement in Section 22, the class action waiver in Section 23 and the mass action waiver in Section 24. To use this right, send written notice by email to support@honorliberty.com within thirty (30) days of when you first accept these Terms, and put "Arbitration Opt-Out" in the subject line. The notice must contain your name, the email address associated with your account, and a clear statement that you intend to opt out. Choosing to opt out does not affect any of your other rights or obligations under these Terms, and we will not retaliate against you because you opted out.
27. Severability on a claim-by-claim basis
Suppose some portion of Sections 22 through 25 is found unenforceable as it applies to a specific claim. In that case, only that claim goes forward in a court of competent jurisdiction, and every other claim stays subject to arbitration on an individual basis.
28. The law that governs these Terms
Apart from anything Section 22 provides otherwise, these Terms, and any separate agreements under which we provide Services to you, are governed by and construed in accordance with the laws of the State of California. Conflict-of-law principles are disregarded for this purpose. Subject to Section 22, you and Honor Liberty® consent to personal jurisdiction and venue in the state and federal courts located in California.
29. Events beyond our reasonable control (force majeure)
If we are delayed in performing, or fail to perform, an obligation under these Terms because of causes beyond our reasonable control, we will not be liable for it. Such causes include acts of God, natural disasters, pandemics or public health emergencies, labour disputes, supply chain disruptions, governmental actions, war or terrorism, internet service failures, payment processor outages and carrier delays. For as long as such an event continues, we are excused from performance.
30. Other legal terms: severability, waiver, entire agreement, assignment and headings
30.1 If one provision is found invalid
If it is determined that a provision of these Terms is unlawful, void or unenforceable, that provision will still be enforceable to the fullest extent applicable law permits. The portion that cannot be enforced is deemed severed, and the validity and enforceability of every other provision remain unaffected.
30.2 Not enforcing a right is not a waiver
Our failure to exercise or enforce any right or provision of these Terms is not a waiver of our ability to enforce it in the future. For a waiver to be effective, it must be in writing and signed by our duly authorised representative.
30.3 The whole agreement between us
Together with our Privacy Policy, our Refund Policy and any operating rules we post, these Terms form the entire and integrated agreement between you and us about your use of the Services and your purchase of products. They supersede every prior or contemporaneous agreement, communication and proposal, whether oral or written, and that includes earlier versions of these Terms. Ambiguities will not be construed against whichever party drafted the Terms.
30.4 Transferring this agreement
You need our prior written consent to delegate, transfer or assign these Terms or any of your rights or obligations under them, and any attempt without that consent is null and void. We, on the other hand, may transfer, assign or delegate these Terms and our rights and obligations without your consent and without telling you, for example in connection with a merger, acquisition, corporate reorganisation or sale of assets, or by operation of law.
30.5 What the headings are for
We include headings only for convenience, and they do not limit or otherwise affect these Terms.
